The subject of this agreement is to determine the rights and obligations of the parties regarding the sale and performance of software licences, software-as-a-service (SaaS) subscriptions and related installation, training and consultancy services ordered electronically by the Buyer through the Site.
Where the Buyer acts as a consumer, the Consumer Protection Law No. 6502 and the Regulation on Distance Contracts apply. Where the Buyer is a merchant, company or institution acting within its commercial or professional activity, the consumer-specific provisions of this legislation do not apply; the relationship between the parties is governed by any agreement, quote and licence terms signed by the parties and by the Turkish Commercial Code No. 6102 and the Turkish Code of Obligations No. 6098.
Article 3 — Product/Service, Price and Payment
The main characteristics, scope, term, number of users and total price including taxes of the product or service are shown on the order and payment page. Prices shown are valid at the time of the order. Payment is made by debit or credit card through the iyzico (İyzi Ödeme ve Elektronik Para Hizmetleri A.Ş.) secure payment infrastructure with 3D Secure verification; instalment options are subject to the terms of the relevant bank. Card details are not seen or stored by the Seller. The invoice is issued electronically in accordance with the legislation.
The functionality of the software, the environment in which it runs and its technical requirements (operating system, browser, database, hardware and connectivity requirements, and the systems it is interoperable with) are stated on the order page and in the product documentation. Meeting these requirements is the Buyer's responsibility.
Article 4 — Performance and Delivery
Products and services are performed electronically; no physical delivery is made. The licence key or account access details are sent to the e-mail address provided by the Buyer within 3 business days at the latest after the payment is approved. For software licences that qualify as goods, the delivery period shall in any case not exceed the statutory maximum of 30 days from the time the order reaches the Seller; if it is exceeded, the consumer may terminate the agreement. Installation, training, integration and consultancy services are performed according to the schedule committed in the order or quote. The Buyer is obliged to provide the information, access and technical infrastructure required for the performance of the service on time; the Seller is not responsible for delays resulting from failure to do so.
Article 5 — Right of Withdrawal
The consumer has the right to withdraw from the agreement within 14 (fourteen) days without giving any reason and without paying any penalty. The withdrawal period starts on the day the agreement is concluded for service agreements, and on the day the licence or access is delivered to the Buyer for software licences that qualify as goods. Notice of withdrawal must be given in writing within the period by e-mail to info@bizmo.com.tr or by KEP to bizmoteknoloji@hs01.kep.tr. The Seller refunds the amount collected, without charging the consumer any cost, using the payment instrument used for the payment, within 14 days at the latest from the date the notice of withdrawal reaches it. For the notice of withdrawal, you may use the model form annexed to the Regulation on Distance Contracts or any statement clearly setting out your decision.
Article 6 — Cases Where the Right of Withdrawal Cannot Be Exercised
Under the provision of the Regulation on Distance Contracts on exceptions to the right of withdrawal (Art. 15), the right of withdrawal cannot be exercised in the following cases:
- Services performed instantly in electronic form and intangible goods delivered instantly to the consumer (e.g. a licence key or software access activated immediately after the order),
- Services whose performance starts with the consumer's approval before the withdrawal period expires,
- Software and other goods prepared, personalised or configured in line with the consumer's requests or personal needs.
The Buyer acknowledges having been informed that if they request the service to start immediately or the licence to be activated immediately during the order, they will lose the right of withdrawal; this is separately and explicitly confirmed at the ordering step.
Article 7 — Subscriptions
The subscription term, renewal and termination conditions are clearly shown during the order. The consumer's termination rights under the legislation are reserved.
Article 8 — Defective Service
If the service does not conform to the agreement, the consumer may exercise their optional rights under the provisions of Law No. 6502 on defective services. Notices of defects and all complaints and objections are made to the contact addresses above or to info@bizmo.com.tr.
Article 9 — Personal Data
The Buyer's personal data is processed under the Data Protection Notice and the Privacy Policy.
Article 10 — Dispute Resolution
For consumer disputes, the Consumer Arbitration Committees at the consumer's place of residence or where the consumer transaction was made have jurisdiction within the monetary limits announced each year by the Ministry of Trade, and the Consumer Courts have jurisdiction for disputes exceeding these limits; the provisions on mandatory mediation in the legislation are reserved. For disputes with merchant or corporate buyers, the Courts and Enforcement Offices of Çorum have jurisdiction.
Article 11 — Entry into Force and Evidence
The Buyer acknowledges having read the pre-contractual information and the provisions of this agreement and having given the necessary electronic confirmation before approving the order. The agreement is concluded when the order is approved electronically.
